Welcome to Adcaver! These Terms and Conditions (“Terms”) govern your use of the Adcaver advertising platform, including our website, services, and tools (collectively, the “Platform”). By creating an account or using our Platform, you agree to be bound by these Terms.

1. Definitions

  • “Adcaver,” “we,” “us,” or “our” refers to the operators of the Adcaver Platform.
  • “Advertiser” refers to any individual or entity that registers to create and run advertising campaigns on the Platform.
  • “Publisher” refers to any individual or entity that registers to display advertisements from the Platform on their website(s).
  • “User” refers to any Advertiser, Publisher, or visitor of the Platform.
  • “Ad Content” refers to any text, graphics, images, videos, or other materials submitted by an Advertiser for an advertising campaign.
  • “Viewable Impression” refers to an ad impression that is confirmed to have been seen by a human user, as determined by our client-side tracking technology.

2. User Accounts

2.1. Eligibility

You must be at least 18 years of age to create an account and use our Platform. By registering, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

2.2. Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Terms for Advertisers

3.1. Ad Content

You are solely responsible for all Ad Content you create and submit. Your Ad Content must not:

  • Contain illegal, defamatory, obscene, or hateful material.
  • Infringe upon the intellectual property rights of any third party.
  • Contain malware, viruses, or any other malicious code.
  • Promote fraudulent schemes or deceptive practices.

We reserve the right to reject or remove any Ad Content that violates these terms, at our sole discretion.

3.2. AI-Powered Tools and Automated Ad Generation

Adcaver provides AI-powered tools to assist in generating keywords and refining ad copy. While these tools aim to improve performance, you are ultimately responsible for the final Ad Content used in your campaigns. We make no guarantees regarding the performance of AI-generated suggestions.

For our “AI-Powered Dynamic Ad” format, you direct our system to automatically generate Ad Content based on a URL you provide. By using this hands-free feature, you grant Adcaver the right to access and analyze the content of the provided URL for the sole purpose of creating and refreshing your Ad Content. You represent and warrant that you have all necessary rights to the content on your provided URL and that this content complies with our policies. You acknowledge and agree that you are solely and entirely responsible for all automatically generated Ad Content, as it is a direct derivative of the source material you provide.

3.3. Payments and Billing

You agree to pay for all advertising costs incurred through your account. Our billing model is based on Viewable Impressions (CPM) and Cost-Per-Click (CPC). You will only be charged when your ad is verifiably seen by a user or clicked on, not simply when it loads on a page. All payments are processed through our third-party payment gateway, and you agree to their terms of service.

4. Terms for Publishers

4.1. Site Approval

To display ads, you must submit your website for review. You agree to provide accurate information about your site and place a verification meta tag in your site’s header to prove ownership. We reserve the right to approve or reject any site at our discretion.

4.2. Ad Placement

You agree to place ad codes on your approved site in a manner that does not violate our policies. Prohibited activities include, but are not limited to:

  • Encouraging or incentivizing users to click on ads.
  • Generating fraudulent or automated clicks and impressions.
  • Placing ads on pages with prohibited content.
  • Altering the ad code provided by the Platform.

4.3. Payments and Withdrawals

You will earn a share of the revenue generated from valid Viewable Impressions and clicks on ads displayed on your site. Earnings will be credited to your Publisher account. You may request a withdrawal once your balance reaches the minimum threshold specified on your dashboard. Payments are made according to the payment method you have on file. We are not responsible for transaction fees charged by payment processors.

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities: (i) reverse-engineering, decompiling, or attempting to extract the source code of the Platform; (ii) using any automated system, such as “bots” or “spiders,” to access the Platform in a manner that sends more request messages to our servers than a human can reasonably produce in the same period; (iii) engaging in any activity that interferes with or disrupts the Platform.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

7. Disclaimers and Limitation of Liability

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, express or implied, regarding the performance, reliability, or profitability of the Platform. In no event shall Adcaver, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or goodwill, arising out of your use of the Platform.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. (Note: This should be updated to your actual legal jurisdiction).

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.
